Perpetuum Innovations Private Limited, a company formed under The Companies Act, 2013 having registered office at Second Floor, Plot No.4, Minarch Tower, Sector 44, Gurugram, Haryana 122003 (‘Perpetuum’) is operating under the brand name ‘Giraffe’ whereby it is providing a platform to the End Users to network, join and/or curate small crew experiences.

Giraffe is operating website(s) having URL- https://giraffe.to (the 'Site'), and mobile application(s) available for downloading for users (‘End-User’/’You’) on Playstore and Appstore (‘Stores’).

Features and usage offered to You in Giraffe (App Store, Play Store and website) are referred to as 'Services'.

You can contact Giraffe through email (contact@perpetuum.co) or by sending mail to its registered office at Second Floor, Plot No.4, Minarch Tower, Sector 44, Gurugram, Haryana-122003, India. The Terms stipulated in this Agreement for use shall be referred to as ‘Terms of Use’ herein and shall constitute a legally binding agreement between You and Giraffe. You agree that by accessing or using Giraffe, You have read, understood, and agreed to be bound by all the Terms of Use, stipulated herein.

IF YOU DO NOT AGREE WITH ANY OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE THE USE OF GIRAFFE IMMEDIATELY.

In case of any update or change in the Terms of Use, Giraffe shall send You a Prior Notice of seven (7) days. On expiry of the Notice period, the Changes shall come into effect immediately. However in case of changes with respect to functionality, security updates, bug fixes or any court order prohibiting the use, a Prior Notice shall not be necessary. Using or accessing Giraffe after the changes come into effect shall be considered as a deemed acceptance of the modified terms. In case of any grievances, You may raise a ticket with Giraffe and it shall try to resolve the grievance as soon as possible. You consent that You are at least 18 years old. Downloading and usage of Giraffe for any person below 18 years is strictly prohibited. It is recommended that You print a copy of these Terms of Use for Your records.

APPLICABILITY OF RELATED AGREEMENT AND TERMS OF USE

1. SERVICES

Giraffe provides a digitally gated platform enabling profile creation, discovery of compatible attendees and inclusion in exclusive small crews for curated skill, wellness, and cultural trails (including padel, pilates, pottery, mixology, horse riding, and immersive performance-led formats). Giraffe connects End-Users through shared interests in physical practice, craftsmanship, and real-world group routines.

Through interactive End-User profiles, curated composition engines, and digital access tools, Giraffe supports secure, curated connections for its End-Users to explore Trails, lock in shared Rooms, and participate in a new category of real-world social culture. All profiles on Giraffe are verified, and details and locations of all Trails and Rooms created on Giraffe are verified with our partner coaches and studios.

Giraffe does not provide any Services outside India and hence, it is not available for distribution outside India.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 Perpetuum is the owner of all the intellectual property rights including but not limited to all source code(s), object code(s), databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the 'Content'), as well as the trademarks, service marks, and logos contained therein (the 'Marks'). Our Content and Marks are protected by copyright and trademark laws in India and internationally.

Use of the Services is subject to the End-User’s compliance with the Terms of Use, including the 'PROHIBITED ACTIVITIES' section below. Giraffe hereby provides You a non-exclusive, non-transferable, revocable licence to:

Access the Services; and/or,
Download or print a copy of any portion of the Content to which You have properly gained access, solely for Your personal and non-commercial use.

2.2 Except as set out in the Terms of Use, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without express written permission from Perpetuum.

3. USER REPRESENTATIONS

By using the Services, You represent and warrant that:

You have the legal capacity to access Giraffe and agree to comply with these Legal Terms;
You are above 18 years of age;
You will not access the Services through automated or non-human means;
You will not use the Services for any illegal or unauthorised purpose; and
Your use of the Services will not violate any applicable law or regulation.

4. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which Giraffe makes the Services available. As a user of the Services, you agree not to:

Systematically retrieve data or other content from Giraffe to create or compile a collection or directory without written permission;
Trick, defraud, or mislead Giraffe and other End-Users;
Circumvent, disable, or otherwise interfere with security-related features of Giraffe;
Use any information obtained from the Services in order to harass, abuse, or harm another person;
Attempt to impersonate another user or person;
Upload or transmit viruses, Trojan horses, or other harmful materials;
Copy or adapt Giraffe's software code.

5. USER GENERATED CONTRIBUTIONS

Giraffe may invite You to chat, text, organise small crew bookings, take Places, leave reviews, and share feedback. You represent and warrant that your Contributions are accurate, not confidential, and do not infringe any third-party rights.

6. CONTRIBUTION LICENCE

By posting Contributions or feedback, You grant Giraffe an unrestricted, perpetual, royalty-free license to use, store, and display such content in connection with providing and improving the Services.

7. GUIDELINES FOR REVIEWS

Reviews must reflect first-hand experience with the Trail, Coach, or Studio. Reviews must be truthful, non-defamatory, and free of hate speech or commercial solicitation.

8. MOBILE APPLICATION LICENCE

Giraffe grants You a revocable, non-exclusive, non-transferable, limited right to install and use Giraffe on wireless electronic devices owned or controlled by You strictly in accordance with these Terms.

9. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to partner venues, studios, coaches, or third-party payment gateways. Giraffe is not responsible for the content or practices of any third-party sites.

10. SERVICES MANAGEMENT

Giraffe reserves the right to monitor the platform for compliance, take legal action against violators, and manage the platform to protect its rights and efficiency.

11. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy. By using Giraffe, You agree to be bound by our Privacy Policy.

12. TERM AND TERMINATION

These Terms of Use shall remain in full force and effect while You use Giraffe or its Services. Giraffe reserves the right to deny access or terminate accounts in its sole discretion for breach of these Terms.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms of Use shall be governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to binding arbitration in New Delhi, India, and the Courts of Gurugram, Haryana shall have exclusive jurisdiction.

14. DISCLAIMER & LIMITATION OF LIABILITY

The Services are provided on an AS-IS and AS-AVAILABLE basis. In no event will Perpetuum, Giraffe, or its directors, employees, or partners be liable for any indirect, consequential, or exemplary damages arising from your use of the Services.
